Agreement and order of precedence
These Terms of Service ("Terms") govern access to and use of the AlchemyWorkflow website, platform, APIs, integrations, workflows, implementation services and related documentation (the "Services"). The entity identified as the customer in an order form, statement of work or other written agreement is the "Customer."
Enterprise use may also be governed by an order form, SOW, master services agreement, DPA or other signed document. If there is a conflict, the signed document controls in the following order unless it states otherwise: DPA for personal-data matters, order form or SOW for commercial and implementation matters, master services agreement, then these Terms.
Eligibility and authority
You must be at least 18 and authorized to bind the organization you represent. By using the Services, you represent that you have authority to accept these Terms for that organization and that use is for legitimate business purposes.
Enterprise access and administrators
AlchemyWorkflow does not provide public self-service registration. A customer tenant is provisioned following an approved engagement. Customer administrators invite and remove users, assign roles and manage organization access.
Customer is responsible for its users, credential security, accurate account information, role assignments and timely removal of access. Customer must promptly notify AlchemyWorkflow of suspected compromise or unauthorized activity.
Services and implementation
The specific Services, deliverables, milestones, assumptions, dependencies and acceptance criteria are defined in the applicable order or SOW. Unless expressly stated, product descriptions and demonstrations are illustrative and do not create a commitment to deliver a feature or outcome.
Customer will provide timely access to systems, personnel, documentation, credentials and decisions reasonably required for implementation. Delays caused by missing dependencies may affect scope, schedule and fees.
Customer responsibilities
Customer is responsible for the legality, accuracy and quality of Customer Content; the configuration and approval of workflows; the actions performed in connected systems; and obtaining necessary notices, permissions and lawful bases.
Customer must review workflow logic, generated content and automated actions before production use and maintain human oversight for high-impact or consequential decisions.
Acceptable use
Customer and users must comply with the Acceptable Use Policy. Prohibited conduct includes unlawful activity, infringement, malware, credential abuse, unauthorized security testing, interference with the Services, deceptive content, privacy violations and use designed to build or benchmark a competing service without written authorization.
Connected services
Customer may authorize integrations with third-party services. Customer represents that it has authority to grant the requested access and instruct AlchemyWorkflow to process the associated data. Third-party services remain subject to their own terms, availability and privacy practices.
AlchemyWorkflow is not responsible for changes, outages, API limits or acts of connected-service providers, but will use commercially reasonable efforts to maintain supported integrations as described in the applicable agreement.
Customer Content and data rights
As between the parties, Customer retains its rights in Customer Content. Customer grants AlchemyWorkflow a limited, non-exclusive right to host, copy, transmit, process, display and otherwise use Customer Content only as necessary to provide, secure, support and improve the Services as permitted by the applicable agreement.
AlchemyWorkflow may generate aggregated or de-identified operational information that cannot reasonably identify Customer or an individual and may use that information for analytics, security, benchmarking and service improvement.
AI-assisted features and outputs
Some workflows may use AI-assisted features. Outputs may be inaccurate, incomplete, non-unique or unsuitable for a particular purpose. Customer is responsible for reviewing outputs, validating factual and legal accuracy, obtaining required approvals and determining whether an output may be used.
Except where expressly agreed, AlchemyWorkflow does not represent that generated output is unique, error-free, non-infringing or appropriate for regulated or high-risk decisions.
Intellectual property
AlchemyWorkflow and its licensors retain all rights in the Services, software, workflow engine, interfaces, documentation, designs, methods, templates and improvements, excluding Customer Content. No rights are granted except the limited right to use the Services during the applicable term.
If Customer provides feedback, Customer permits AlchemyWorkflow to use that feedback without restriction or compensation, provided we do not identify Customer publicly without permission.
Confidentiality
Each party may receive non-public information that should reasonably be understood as confidential. The receiving party will use confidential information only to perform the agreement, protect it using reasonable care and disclose it only to personnel and service providers with a need to know and appropriate obligations.
Confidentiality obligations do not apply to information that is public through no breach, already lawfully known, independently developed or lawfully received from another source. Legally compelled disclosure is permitted subject to notice where lawful.
Fees, taxes and payment
Fees, invoicing, expenses, usage commitments and payment terms are stated in the applicable order or SOW. Fees are non-refundable except as expressly stated. Customer is responsible for applicable taxes other than taxes based on AlchemyWorkflow’s net income.
Overdue amounts may result in suspension after notice as permitted by the applicable agreement.
Security and privacy
AlchemyWorkflow will maintain commercially reasonable safeguards appropriate to the Services. Customer will configure secure access, protect credentials and use the Services in accordance with its own security and compliance obligations.
Our Privacy Policy applies where AlchemyWorkflow acts as controller. The Data Processing Addendum applies only when incorporated into an applicable agreement.
Term, suspension and termination
These Terms apply while Customer or a user accesses the Services. Subscription, implementation and renewal terms are defined in the applicable order.
AlchemyWorkflow may suspend access where reasonably necessary to address a security risk, unlawful use, material breach, non-payment or a legal requirement. Where practicable, we will provide notice and an opportunity to cure.
Upon termination, Customer’s access ends. Export, return and deletion of Customer Content are governed by the applicable agreement and DPA. Provisions that by their nature should survive will survive, including payment, confidentiality, intellectual property, disclaimers, limitations and dispute provisions.
Warranties and disclaimers
Any express service warranty will be stated in the applicable agreement. Except as expressly provided and to the maximum extent permitted by law, the Services are provided "as is" and "as available." AlchemyWorkflow disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation.
AlchemyWorkflow does not guarantee a particular business result, conversion rate, revenue outcome or workflow decision.
Limitation of liability
Liability limits should be defined in the applicable master services agreement or order. Where no signed agreement contains a limitation and to the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or loss of profits, revenues, goodwill or data.
Nothing in these Terms limits liability that cannot lawfully be limited. Any default aggregate cap must be confirmed by AlchemyWorkflow’s legal entity before production publication.
Indemnification
Indemnification obligations, including procedures and control of defense, should be stated in the applicable signed agreement. At minimum, Customer remains responsible for claims arising from Customer Content, unlawful workflow configuration, unauthorized connected-service access or use of the Services in violation of these Terms.
Compliance, export and sanctions
Each party will comply with laws applicable to its performance. Customer will not use the Services in violation of export-control, sanctions, anti-bribery, privacy, employment, consumer-protection or intellectual-property laws.
General terms
Neither party is liable for delay caused by events beyond reasonable control. Customer may not assign the agreement without consent except as permitted in a signed agreement. AlchemyWorkflow may use subcontractors while remaining responsible for its obligations.
Governing law, venue and formal notice details are those stated in the applicable signed agreement. If none exists, these items must be completed for the contracting AlchemyWorkflow legal entity before production use.
These Terms and incorporated documents constitute the agreement for the subject matter they cover. Failure to enforce a provision is not a waiver. Invalid provisions will be limited to the minimum extent necessary, and the remainder will continue in effect.
